Job Summary
The position of Board Secretary serves the needs of the Board of Directors facilitating the Board Meeting Agenda, document the company policies, record the attendance of the Board Meetings, and assist the Board as per the requirements of the company. This position shall directly report to the Board of Directors and also serve at the instructions of the General Manager
Key Duties and Responsibilities
- Serve on any Board Committees as constituted by the Board of Directors;
- Maintain archive of all the Minutes of Meeting of Board of Directors & Shareholders;
- Maintain complete knowledge and possess ability to interpret the Company Constitution documents – Memorandum of Association ( MOA), Article of Association (AOA) and all investment/business licenses, VAT Registration certificates, etc.:
- Possess Legal ability to interpret and justify company position with regards to the business license and pursue necessary amendments in light of changing regulations;
- Ensure complete Legal compliance with regards to Business License, VAT Return filing, Annual Land Lease renewals, Custom Clearances, and other matters pertaining to the relevant legal organs in the country;
- Keep records of attendance of all Board and Shareholder Meetings;
- Notify Board Members & Shareholder of upcoming meetings and provide detailed agenda and notes to meeting beforehand;
- Maintain all correspondence pertaining to the Board Members and Shareholders and provide necessary personal administrative support when needed;
- Any other tasks as required.

About the Candidate
Qualifications Required
Education
- BA/MA/MBA/LLB/PHD in law, management, public policy & Governance, leadership or other relevant fields
Experience
- Minimum Experience of 10-14 years in Corporate/ NGO sector
Other Personal Attributes
- Ability to identify complex problems and review related information to develop and evaluate options;
- Ability to give full attention to what other people are saying and to use logic and reason to identify the strengths and weaknesses of alternative solutions.
- Have excellent command of English in speaking, understanding, reading and writing and sufficient knowledge on computer system Micro soft word,
